legal question - how to close a company in Poland?

i hope someone will help me in this.
i have company in Poland but i am not polish, everything is done legally and according to law, but now my company lost money and i am willing to close it, i was thinking of just dropping everything and go back to my country becuase i dont want to pay anymore to any government bureau after losing all my money now.
company has no dept to any one and got all clearence from GAZ, electricity, Tax ...
but only need to end the company.
i was told i have to go to court then pay about 1000 zlty and so...
please advise if it's possible to do so without any legal problem in the future.
i appreciates the help

as far as I know you just have to go to where you registered the company and let them know you want to close the firm (this is if the company is not a spółka zoo. (limited liability company)

If it's a sp. z o.o. you have to pass all sorts of resolutions, signed notarially, then submit them and the final accounts and the right forms to all the relevant authorities and wait for 3-6 months before they strike you off. You need a lawyer to do this as it's not straightforward.

is there a way just to suspend the company, or to keep it inactive without going through all these complications specially that company has no loans or indebted to any other party.
and for option of pass all sorts of resolutions and notary and so, how much do you think it will cost me all together?

really appreciates your advices .

if it is a privately owned firm yes it is possible to suspend its activity

don't know weather this is the case with spółka z o.o. - but I guess it's not - though it would not be agaisnt logic - no liabilities vanish if you suspend a personally owned firm and the same could also be true for spółka z o.o.

legal services are quite expensive for Polish standards - I would expect the price to be over 1000 zl (perhaps even twice as much) in all - but I am not an insider

as far as I know there's no way to keep a company dormant here - you need to keep submitting the monthly tax and VAT returns. Talk to a lawyer and get a fixed price for preparing and submitting the documentation.

thank you guys for the advice but i want to be greedy and ask for a little bit more :-)
my situation is as following:
i invested in Poland and spend all the money i brought (45000) just didn't work.
company is not on any sort of Debts of so, i need just to finish this miserable story with the lease i can pay and clean i can get. accountably I am (- 65000 PLN) in the balance sheet.
it's a sad story to me but i would love to end it with least loses possible.

If you want to close your company in Poland you need to:
- pass the resolution about the opening the process of winding up,
- drawn up the opening balance sheet for the winding up,
- submit the above mentioned documents to the registar court and inform the Court and Economic Monitor about the winding up of your company
- after 6 months you should pass the resolution about the closing process of winding up,
- drawn up the closing balance sheet for the winding up, and
- submit the above mentioned documents to the registar court and inform the Court and Economic Monitor about the winding up of your company.

If you are the only shareholder of the company the foregoing resolutions should be notified by the public notary. If your company has no depts, it is really easy to close it. The cost for winding up the cmpany are regulated by statute and amount to circa 2,000 Zloty. You should also inform the statistic and tax authorities about winding up.
The suspension of the comapany activity is according to the polish law impossible. So, the only solution is to follow the above mentioned way.

Hi, yes it's possible. I did suspend my company for a while ago. You can do it for 2 years. Just contact your accountant. He/she would fix it for you and it costs nothing. You have to go to the registration office and sign some papers though. Good luck!
