Polish Company (Sp z.o.o) for Sale for Free

I set up a Polish Company about 2-3 years ago as I was undertaking a business venture. However, I never actually went through with the venture but the Company was legally set up. As I don't now use it, and I have to file various legal documents related to it every month, I now offer it for sale. There are no creditors or debtors, and all the filing is up to date. The only thing you would have to pay for is the legal costs of transfering it into your name. Anyone seriously interested then please reply to the thread.

What is the company called? What are you allowed to do (how are you set up)?

I am seriously interested. I am returning to Poland in about 1 week's time. I will talk with my fiance and if you still need to unload it then I'm definitely interested.

POLISH S.P. Z.O.O FOR SALE

I set up a Company (Premuim Retail Services S.P Z.O.O about 4 years ago as I was going to start a business over here. However, although I started the business I never carried on with it and the Company has been 'sleeping' for the last 3 years. An accountant files all the necessary legal paperwork every month, and then the yearly ones. The Company has no creditors or debtors. I am looking to get rid of it as it isn't trading and is costing me Accountants fees every month. Closing it is expensive and (like everything in Poland!) bureaucratic. Therefore I am willing to give it away for nothing, and all the purchaser has to do is pay the legal costs for transfering it. It will be very hard to sell as you can`t prove that the company has got no debts .Whats on the papers is not always the truth with reality, as we all know . It is costly with maintenance of this type of legal entity , haven`t you known that before . If you want to give it away for nothing it will be very suspicious for the prospect buyer then the only reasonable way would be its liquidation by closure . Don`t be surprised but it is a lenghty process . The registration court`s judge or court referandary has to be sure that the company has no debts. This type of company is very safe to run for its shareholders but rises the high risk for comany`s external contractors . I am sure that was the feature that appealed to you at the begining . The simplest way of doing business is small business registration . No professional legal and acounting help needed. To set up it takes just few hours .

I bet the running costs of limited liability companies are the same in all EU countries .

You are correct, you have received the wrong advice as from day 1, it is better and less costs to go with a 'Spółka komandytowa'

The cost of court`s fees will be = 650 zł ( initial fee for filing of liquidation in register + the cost of the announcement in Monitor Gospodarczy ( 0.7 złotych for each sign - it might be costly ) +550 zł for filing to delete from register + the legal costs of preparing all documents needed by the court unless you prepare them yourself .

Monia - as you are aware, it takes 6 months to liquidate the company so he will still have to pay the administration costs ( accoounts) for that period.

Yes, but he can do it by himself as he says the company was not making any business at all , so what would the accountant be needed for ?

They are not. From personal experience Czech, Cyprus and the UK are all cheaper than Poland.

I am not mentioning about the costs of running the company " in liquidation " it will be needed to pay for audit for last year as well , of course .

Monia, most foreigners are sold a package, from what he mentions in his post, his seat is the UK, he will be using the services of an administration company in Warsaw, who file all relevant documents on his behalf. I would guesstimate his monthly fees for the Spolka Z.O.O to be 300-700 PLN per month. As I mentioned in the previous post he should have been advised to go for a 'Spółka komandytowa'.

Thank you Monia and Warszawski for your comments. The Accountant fees are currently 30zl per month for filing the monthly balance as she only has to file a 0 balance. Then every year about this time it costs a few hundred zloty to file the yearly accounts and pay the court fee. There were no employee's only me. When I went to see a Lawyer at the very beginning he advised me to set up a Sp z.o.o, but I now realize this was incorrect advice.
I have been quoted ridicoulous Lawyer fees to close the Company, when frankly I'd rather do it myself. If anyone can help with this I'd appreciate if you could contact me.
Oh, and one last thing for the comment Sokrates made. I am not Nigerian (I am white english) and this is not a scam.
